Here, at Law++, we aim to make things simple for you. With that goal in mind, the following items are billed at a flat rate, instead of at an undetermined cost based on hours worked. Taking on a case is subject to many considerations, including but not limited to: conflict of interest checking and ensuring the potential client needs the services requested.

Nonprofit Formation

Form a North Carolina Nonprofit. Includes Articles of Incorporation, EIN and your bare minimum bylaws to get you started.

EasyFee™ Nonprofit Formation

When you choose this EasyFee™ selection, you will receive the completed and filed articles of incorporation for a North Carolina nonprofit corporation along with the Employee Identification Number (EIN) and bare minimum bylaws. This selection also comes with an hour of time for intake and an hour of time for explanation and discussion.

When starting a nonprofit, it is advisable to also join the General Counsel Program for nonprofits to gain helpful advice regarding maintaining the nonprofit status and complying with the rules and regulations surrounding nonprofits.


About
Nonprofits, in North Carolina, are corporations that have no ownership. A nonprofit may be formed for any permissible reason and it is managed by a board of directors. A nonprofit is complete with limited liability protection and beneficial tax treatment. Nonprofit corporations are the basis for starting a charity; however, becoming a nonprofit is not enough to be able to solicit donations from the general public.

In North Carolina, you are required to have a minimum of one director on the board of directors. Furthermore, a nonprofit may not pass profits on to the board of directors by virtue of them being ‘owners’ of the nonprofit. They may, however, received a reasonable salary for their services.

General Counsel Program

EasyFee™ General Counsel Program

When you choose this EasyFee™ selection, your small business will receive two hours of talk time each month to discuss the direction of your company, smaller issues and general advice with one of our attorneys or staff. As we take pride in ensuring that we are the helpful, approachable, law firm, you can expect that we will do what we can to ensure that your two hours will be used in a meaningful way.

Small business owners shouldn’t be hesitant to speak to their attorney. As we’ve found that most small business owners do not speak to an attorney until there is a big problem, this is our way of getting the small businesses into safe water before there’s a huge problem at their door.

These two hours would also cover any additional time spent discussing other purchased items from Law++. For example, if you needed a lease reviewed and explained, but wanted to do the edits yourself, you could get the questions you have on the edits answered over the phone or by email under this General Counsel Program.


About
We, at Law++ believe that there should be some middle ground for the relationship between small business owners and their attorney. To that end, we’ve created the General Counsel program, an affordable monthly subscription that allows for two hours of talk time with your attorney. It’s one of our ways of trying to be the more approachable and helpful law firm.

When you choose this EasyFee™ selection, you will receive the Standard Law++ Nonprofit Bylaws, customized to your organization’s needs. These bylaws are based off of a standardized intake form with limited customization.


About
Bylaws are the guiding rules of a corporation and a nonprofit corporation. The bylaws will determine how and when decisions are made regarding the company and management of the company. The bylaws are also a required portion of the nonprofit for receiving recognition as a 501(c)(3) charity. Beyond being required, all organizations should have governing documents such as the bylaws in case of disputes within the organization or change of management. In these circumstances, the bylaws will guide the parties in a concise manner, thereby ensuring the company continues to run smoothly.

When you choose this EasyFee™ selection, you will receive our assistance in completing and filing the 1023 Application for Recognition of a Charitable Organization through the IRS as well as regular follow up with the IRS to ensure the application is being processed smoothly. This includes the filing fee with the IRS. This, however, does not include the cost of drafting any missing documents or editing existing documents that may not comply with the IRS requirements.


About
In order for donations to your organization to be tax deductible, you will have to receive 501(c)(3) or similar recognition through the IRS. A 501(c)(3) status tells the public that your organization was formed for one of the specifically listed charitable or publicly beneficial purposes. Therefore, the public benefits by donating to your organization. Absent this, or similar, recognition, donations are not able to be deducted from a person’s income taxes.

When you choose this EasyFee™ selection, you will receive our assistance in completing and filing the 1023-EZ Application for Recognition of a Charitable Organization through the IRS as well as regular follow up with the IRS to ensure the application is being processed smoothly. This includes the filing fee with the IRS. This, however, does not include the cost of drafting any missing documents or editing existing documents that may not comply with the IRS requirements.

The 1023-EZ application is only available to those companies that expect to have less than $50,000 for each of the next three years, as well as many other criteria.
